Terms of service

Last updated:

These terms are an agreement between CommonSilo LLC ("CommonSilo") and the yard that subscribes to the service. By creating an account, by using a dock record, or by paying an invoice, the yard agrees to these terms. If you use the service for a yard, you confirm that you are allowed to bind that yard. CommonSilo was founded in 2026. The subscription described here is the service we offer.

The service

CommonSilo is subscription software for shipyard planners. It keeps one dock record for a ship's stay in a berth. On that record the planner sets the dock-in and the undock. The workshop writes unfinished work back onto the same ship. The record holds the dispute timeline when someone contests an hour, the table of who signed, and the exports of that record.

The service is not a general message board, not a file of customers, and not a substitute for a survey or for a dockmaster's own duty under the yard's rules. An hour stored on a slip is the hour the yard recorded. It is not a guarantee that the dock, the tide, or the coating will allow the ship to leave.

We may improve how a record is stored, displayed, or exported. We will not quietly rewrite a signed hour. A change to a window, an open item, or a signature is an action on the record, and the timeline keeps the earlier value. An export of a record that still has an unresolved dispute includes the dispute. We do not produce a packet that hides an unsigned flood-up.

Accounts

Each user has an account with a name, a yard, a role, and a password. The yard is responsible for deciding who may open a record, who may write an open item, and who may sign. Accounts are for named people. A shared password on a shop-floor terminal is a risk the yard accepts. Tell support@commonsilo.com if an account should be closed because someone left the yard. Until we close it, actions by that account remain on the timeline.

The yard must give vessel names, berth identifiers, and hours that it is willing to stand behind. We do not check a ship against a public hull list. A record that names the wrong hull will still count on the ledger, and it will still export, until the planner corrects it. A correction is a new timeline entry. It does not pretend the earlier name was never stored.

The yard will keep credentials from people who should not see the slip. We are not responsible for a disclosure that happens because the yard shared a password or exported a packet to the wrong reader. We are responsible for refusing a call that the token and the role do not allow, such as a workshop lead signing flood-up.

Subscription and record count

The subscription is priced by dock record. It is not priced by seat and it is not sold as packages. The rate is 48 dollars per dock record on the monthly ledger. A dock record is one ship's stay in one berth. It is counted in a month if, during that month, it was opened, the window was revised, an open item was written, a signature row was added or changed, or the stay was closed. Opening the record only to read it does not count. A record counted once in a month stays one line for that month no matter how many times the hour moves.

A long stay can qualify in more than one month. It is still only one line in each of those months. A month with no qualifying action does not include it. The worked record DS-184 illustrates the rule: actions in a month put that record on that month's ledger once, together with the other ships the yard actually touched.

The monthly ledger has a floor of eight dock records. If the yard touches fewer than eight records that qualify, the invoice is still eight times the rate, which is 384 dollars. There is no second rate and no named package above or below the floor. Above eight, the invoice is the qualifying count times the same rate. A month with twenty-two qualifying records is twenty-two times 48 dollars, which is 1,056 dollars.

Invoices are issued monthly in dollars to the billing name on the account. Payment is due on the date the invoice states. If a payment fails, we will write to the yard from support@commonsilo.com. If the amount is still unpaid fourteen days after that note, we may suspend the opening of new records and the making of new exports. We will not delete the timeline during a short suspension. Suspension does not erase a disputed hour, and it does not remove a record from a month that has already qualified.

If a tax applies to the transaction under the law that governs that transaction, it is added to the invoice. The yard is responsible for giving us the billing name that should appear. The yard may dispute a line by writing to support@commonsilo.com and naming the record. We will compare the line to the timeline. A record that shows a qualifying action stays on the count. A record that shows only reads is removed.

The yard may close the subscription by writing to support@commonsilo.com. Closure takes effect at the end of the month already invoiced. Records that qualified during that month remain billable. After closure, the export window described in the privacy policy still applies. Starting the subscription again later does not restore deleted records.

Acceptable use

The yard will not use the service to store information the yard has no right to put on a dock record. The yard will not attempt to read another yard's records, probe the service for a weakness, or overload the API so that other ledgers fail. The yard will not present an export as a survey certificate or as a dockmaster's clearance. An export is a copy of the yard's own record.

The workshop may keep a separate shift sheet for a day's work. That sheet must not become the place where an undock decision is closed if the yard is using the subscription for that decision. Unfinished work that affects the undock is written back onto the ship record. Using the service only as a shell, while the real list lives somewhere else, is the yard's choice, but support will not rebuild that separate list inside the product. The product refuses an open item that is not tied to a vessel and a berth.

The yard will not use the record count as a way to hide ships. Opening empty records that do not correspond to a stay, in order to shape an invoice, is a misuse. We may remove those records from the count and say so. We may suspend a yard that repeats it.

Intellectual property

CommonSilo owns the software, the slip layout, the text of this site, and the API. The yard owns the content of its dock records: vessel names, hours, open items, dispute notes, and the names on signature rows. The yard grants us a limited right to host, display, back up, and export that content so we can provide the subscription. We do not acquire the yard's ships, jobs, or notes.

The yard may not copy the software, resell access to it, or present the slip layout as its own product. The yard may export its own records and keep those exports after the subscription ends, subject to the export window. Feedback sent to support@commonsilo.com may be used to change the product. A yard's dock record is not feedback, and we do not mine it for examples to publish. Public illustrations on this site use a worked record, not a customer's live slip.

Yard data

Our handling of personal information and yard records is described in the privacy policy. The yard is responsible for having a proper basis to put a person's name on a signature row or a dispute line. If a person on a record asks us to delete a historical signature, we follow the privacy policy, including the limit that protects the integrity of a signed hour.

A planner may export a record at any time while the subscription is active and not suspended. The machine-readable copy, the berth copy, the undock packet, and the ledger line are copies of the same record. If they disagree, the timeline on the record is the source, and the yard should tell us. We will correct the export. We will not "correct" the timeline to match a copy that dropped a dispute.

Availability

The service is provided with reasonable care. We do not warrant that an undock hour in the software is safe, that a berth is free, or that a coating is cured. Those judgments stay with the planner, the dockmaster, and the yard's own procedures. We do not warrant uninterrupted availability. Maintenance, and failures in a provider's region, can interrupt access. Where we can, we will say so in a reply from support@commonsilo.com.

To the extent applicable law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some rules do not allow a disclaimer. In that case the disclaimer applies only as far as those rules allow. Nothing in these terms excludes a right that applicable law says cannot be excluded.

Liability

To the extent applicable law allows, CommonSilo is not liable for lost docking time, for a ship that leaves with work still open, for a fixture the owner missed, or for a decision a person made after reading a record. Our total liability arising out of the subscription in a given month is limited to the amount the yard paid us for that month. This limit does not apply where applicable law forbids it, including liability that cannot be limited for fraud or for willful misconduct.

Neither party is liable for a delay caused by an event outside that party's reasonable control, including a failure of a network provider. A closure of a dock by an authority does not, by itself, remove a record from the monthly count if the record was revised or signed during the month. The record still describes a stay the yard touched.

Ending the subscription

Either party may end the subscription as the payment section describes. We may end it sooner if the yard does not pay, if the yard uses the service to interfere with other ledgers, or if applicable law requires us to stop. On ending, the right to use the software stops at the time stated in the notice. The export window and the deletion practice in the privacy policy still apply. Sections that should survive by their nature still apply, including payment for the final month, intellectual property, liability, and governing law.

Governing law

These terms are governed by applicable law. Disputes are brought in the courts of competent jurisdiction. We do not name a local court in these terms. A claim about an invoice or a record should first be sent to support@commonsilo.com so the timeline can be read with the yard. Sending that note does not waive a right that applicable law says cannot be waived, and it does not extend a deadline that applicable law has already fixed.

Changes to these terms

We may update these terms when the subscription changes. The date at the top will show the first day of the month of the update. If a change increases the rate or changes what counts as a dock record, we will tell current yards by email from support@commonsilo.com before the change applies to a new month. The floor, the rate, and the counting rule published here remain the rule until that notice. A yard that does not accept the new count may close the subscription before the new month begins, and the month already invoiced stays on the old rule.

How to reach us

The only address for these terms is support@commonsilo.com. You may also use the yard desk form, which reaches that same address. Please name the yard and the dock record if the note is about a particular slip.
